Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") form a binding legal agreement between you ("User", "you") and Meow Creative Haus ([CIN / LLPIN]), the operator of Patherle ("we", "us", "Patherle").
By signing up, accessing, or using Patherle, you confirm that: (a) you are at least 18 years old; (b) you have the authority to bind the business you represent; (c) you have read and agree to these Terms and our Privacy Policy.
2. Description of Services
Patherle provides a multilingual B2B SaaS platform for Indian businesses, including:
- AI-powered WhatsApp, Telegram, and Instagram chatbots
- Knowledge base management (PDF, CSV, website crawl)
- ERP integration (Zoho Books, QuickBooks, Tally, and others)
- Lead CRM, outbound campaigns, and conversation analytics
- Bot builder (chatflows, forms, product showcase)
We reserve the right to add, modify, or discontinue features with reasonable notice.
3. Account Registration
- You must provide accurate, complete, and current information during sign-up.
- You are solely responsible for maintaining the confidentiality of your password and all activity under your account.
- Notify us immediately at support@patherle.com if you suspect unauthorised access.
- One account per legal entity. Creating multiple accounts to circumvent plan limits is prohibited.
4. Acceptable Use
You agree not to use Patherle to:
- Send unsolicited commercial messages (spam) in violation of TRAI regulations or WhatsApp Business Policy
- Send messages to numbers on the National Do Not Call (NDNC) registry without prior consent
- Transmit, store, or process content that is illegal, defamatory, obscene, or violates any applicable Indian law
- Impersonate any person or entity or misrepresent your affiliation
- Reverse engineer, decompile, or attempt to extract the source code of Patherle
- Resell or sublicense access to Patherle without our written permission
- Conduct security testing, scraping, or automated access beyond what the API permits
- Process or store sensitive personal data categories prohibited by the DPDP Act 2023 without explicit consent
Violation of this section may result in immediate account suspension without refund.
5. Data Ownership
- Your data - You retain full ownership of your business data (products, leads, conversation history, documents). Patherle does not claim any IP rights over your content.
- Your customers' data - You are the Data Fiduciary for your end-customers. Patherle processes their data on your behalf as a Data Processor. You must have a lawful basis (consent, contract, legitimate interest) for collecting and processing your customers' data through Patherle.
- Platform IP - Patherle's code, models, UI, brand, and infrastructure are owned exclusively by Meow Creative Haus. No license is granted beyond what is necessary to use the service.
6. Payment Terms
- Subscriptions are billed in advance, monthly or annually, in Indian Rupees (INR).
- Prices are exclusive of GST. Applicable GST will be added to your invoice.
- Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
- To cancel, downgrade, or upgrade your plan, use the Billing section of your account or email billing@patherle.com.
- Refund policy: No refunds for partial months already used. If you cancel within 7 days of your first paid subscription and have not materially used the service, you may request a full refund by emailing us. Annual plans: pro-rata refund for unused months if cancelled within 30 days of annual renewal.
- We reserve the right to change pricing with 30 days' notice. Existing subscriptions continue at their current rate until renewal.
7. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
Patherle's total liability for any claim arising from these Terms or your use of the platform shall not exceed the total fees paid by you in the 3 months preceding the claim.
In no event shall Patherle be liable for: loss of profits, loss of business, loss of data, loss of goodwill, indirect, incidental, special, or consequential damages - even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence, or any liability that cannot be excluded under Indian law.
8. Indemnification
You agree to indemnify, defend, and hold harmless Patherle, its founders, employees, and agents from any claims, damages, losses, and costs (including legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third party's rights; (d) your customers' data processed through Patherle.
9. Disclaimers
The platform is provided "as is" and "as available" without warranties of any kind, express or implied, to the extent permitted by Indian law. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated responses will be accurate.
You are solely responsible for verifying the accuracy of AI-generated bot responses before relying on them for business decisions.
10. Termination
- By you: You may terminate your account at any time from Settings → Account & Data → Delete Account.
- By us: We may suspend or terminate your account immediately and without notice for material violations of these Terms, non-payment, or as required by law. We will provide reasonable notice for non-material reasons.
- On termination, your access ceases immediately. We retain billing records for 7 years per GST requirements; all other data is deleted within 30 days of account deletion.
11. Third-Party Services
Patherle integrates with third-party services (WhatsApp, Telegram, Zoho, QuickBooks, Razorpay, and others). Your use of those services is governed by their own terms. We are not responsible for the availability, accuracy, or practices of third-party services.
12. Changes to These Terms
We will notify you of material changes via email to your registered address at least 30 days in advance. Continued use after the effective date constitutes acceptance. For non-material changes (typos, clarifications), we will update the "Last updated" date without notice.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of [CITY], India.
Before initiating legal proceedings, both parties agree to attempt good-faith resolution by emailing legal@patherle.com. If unresolved within 30 days, either party may pursue formal legal remedies.
14. Miscellaneous
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Patherle regarding the service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
- No Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
